Entity named on the invoice ("ShopOlives.com by Sevilo Inc.") that will be provided to you ("Customer") on orders for products sold.

By accepting delivery of the products described on that invoice, Customer agrees to be bound by and accepts these terms and conditions.

THESE TERMS AND CONDITIONS APPLY (i) UNLESS THE CUSTOMER HAS SIGNED A SEPARATE FORMAL PURCHASE AGREEMENT WITH SEVILO INC, IN WHICH CASE THE SEPARATE AGREEMENT SHALL GOVERN; OR (ii) UNLESS OTHER SEVILO INC STANDARD TERMS APPLY TO THE TRANSACTION.

These terms and conditions are subject to change without prior written notice at any time, in Sevilo Inc sole discretion.

1- Other Documents. These terms and conditions may NOT be altered, supplemented, or amended by the use of any other document(s). Any attempt to alter, supplement or amend this document or to enter an order for product(s) which is subject to additional or altered terms and conditions will be null and void, unless otherwise agreed to in a written agreement signed by both Customer and Sevilo Inc.

2- Disclaimer and Limitation of Liability as to Products Sold. All of Sevilo Inc products are guaranteed against defects for 30 days from the date of the invoice. Except as expressly stated herein, Sevilo Inc makes no representations or warranties, either express or implied, of any kind with respect to products sold on ShopOlives.com web site.

Except as expressly stated herein, Sevilo Inc expressly disclaims all warranties, express or implied, of any kind with respect to products sold on this site, including but not limited to, merchantability and fitness for a particular purpose.

You agree that the sole and exclusive maximum liability to Sevilo Inc arising from any product sold on shopOlives.com web site shall be the price of the product ordered. In no event shall Sevilo Inc. its owners, directors, officers, employees or other representatives be liable for special, indirect, consequential, or punitive damages related to product sold.

Sevilo Inc makes no representations or warranties, either express or implied, of any kind with respect to the Sevilo Inc sites, their operations, contents, information, materials or year 2000 compliance.

Sevilo Inc expressly disclaims all warranties, express or implied, of any kind with respect to the sites or their use, including but not limited to merchantability and fitness for a particular purpose. You agree that Sevilo Inc, its owners, directors, officers, employees or other representatives shall not be liable for damages arising from the operation, content or use of the Sevilo Inc sites. You agree that this limitation of liability is comprehensive and applies to all damages of any kind, including without limitation direct, indirect, compensatory, special, incidental, punitive and consequential damages.

4- Typographical Errors. In the event a product is listed at an incorrect price or with incorrect information due to typographical error or error in pricing or product information received from our suppliers, Sevilo Inc shall have the right to refuse or cancel any orders placed for product listed at the incorrect price. Sevilo Inc shall have the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is canceled, Sevilo Inc shall immediately issue a credit to your credit card account in the amount of the charge.

5- Order Acceptance Policy. Your receipt of an electronic or other form of order confirmation does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell- Sevilo Inc reserves the right at anytime after receipt of your order to accept or decline your order for any reason. Sevilo Inc reserves the right at any time after receipt of your order, without prior notice to you, to supply less than the quantity you ordered of any item. We may require additional verifications or information before accepting any order.

6- Payment Terms; Quotes; Interest. Terms of payment are within Sevilo Inc's sole discretion, and unless otherwise agreed to by Sevilo Inc, payment must be received by Sevilo Inc prior to Sevilo Inc's acceptance of an order. Payment for the products will be made by credit or debit card, wire transfer, or some other prearranged payment method unless credit terms have been agreed to by Sevilo Inc. Invoices are due and payable within the time period noted on the reverse side of this invoice, measured from the date of the invoice. Sevilo Inc may invoice parts of an order separately. Any quotations given by Sevilo Inc. will be valid for the period stated on the quotation. Customer agrees to pay interest on all past-due sums at the highest rate allowed by law.

7- Shipping & Taxes. Separate charges for shipping and handling may be shown on Sevilo Inc invoice(s). Sevilo Inc shall automatically charge and withhold the applicable sales tax for orders to be delivered to addresses within Texas, unless Customer provides Sevilo Inc with a valid and correct tax exemption certificate applicable to the product ship-to location prior to Sevilo Inc's acceptance of the order, the Customer is responsible for sales and all other taxes associated with the order, however designated, except for Sevilo Inc's franchise taxes and taxes on Sevilo Inc's net income. If applicable, a separate charge for taxes will be shown on Sevilo Inc's invoice.

8- Jurisdiction and Venue You agree that any legal action brought against Sevilo Inc shall be governed by the laws of the State of Texas without regard to its conflict of law principles. You agree that the sole jurisdiction and venue for any litigation arising from your use of or orders made on the Sevilo Inc sites shall be an appropriate federal or state court located in Denton County, Texas.

9- Return Policies. Sevilo Inc products that are purchased directly from Sevilo Inc or Shopolives.com by an end-user Customer may be returned by Customer in accordance with Sevilo Inc's Return Policy.

If not completely satisfied, all unopened products may be returned within 30 days from the original shipping date for a full refund of the purchase price less a 15% restocking fee. Products must be factory-sealed, unopened, and in their original saleable condition.

Return Instructions:

Email us at returns A T shopolives D O T com to request a Return Merchandise Authorization (RMA) number, shipping address, and instructions. You will need your order number and the reason for the return request to complete the authorization. We may be able to suggest an alternate product that will better suit your needs.

If possible, use the original packaging to return the products. Pack the shipment adequately to avoid damage during shipping. Indicate the following information clearly on the shipping package:

·          Return address.

·          Shipping address.

·          RMA number located below the shipping address.

Returns should be shipped with adequate shipping insurance at the expense of the customer. If products are not adequately insured and are damaged or lost during shipping, we cannot issue a refund.

Upon receipt of the authorized return items, we will credit your account for the cost of the product(s) only less a 15% restocking fee. Shipping charges are non-refundable. Please allow up to 30 days for the credit to appear on your statement.

9-a Restocking Fee:

All authorized product returns are subject to a 15% restocking fee. The restocking fee is not applied to incorrect shipments.

9-b Non-Returnable / Non-Refundable Items:

·          Special Sale and Clearance items: Products that are sold at prices below our everyday discounted price level.

·          Item(s) returned more than 30 days from original shipping date or item(s) returned without a valid Return Merchandise Authorization (RMA) number. At our discretion, we may either reject the shipment or apply a 25% restocking fee.

·          Shipping charges.

10- Order Cancellation. Cancellation requests will be honored within 24 hours of order placement. You must email our Customer Service Department at returns A T shopolives D O T com within 24 hours. Upon approval, we will cancel your order and apply a 10% cancellation fee.

11- Arbitration. Any claim, dispute or controversy (whether in contract, tort, or otherwise, whether pre-existing, present or future, and including statutory, common law, intentional tort and equitable claims) against Sevilo Inc, its agents, employees, successors, assigns or affiliates (collectively for purposes of this paragraph, "Sevilo Inc") arising from or relating to this Agreement, its interpretation, or the breach, termination or validity thereof, the relationships which result from this Agreement (including, to the full extent permitted by applicable law, relationships with third parties who are not signatories to this Agreement), Sevilo Inc's advertising, any related purchase, including the validity of this arbitration clause shall be resolved exclusively and finally by binding arbitration administered by the National Arbitration Forum (NAF) under its Code of Procedure then in effect (available via the Internet at http://www.adrforum.com, or via telephone at 1-800-474-2371). The arbitration will be conducted before a single arbitrator, and will be limited solely to the dispute or controversy between Customer and Sevilo Inc. The arbitration shall be held in Denton County, Texas at the office of Sevilo Inc, by telephone, or online. Any award of the arbitrator(s) shall be final and binding on each of the parties, and may be entered as a judgment in any court of competent jurisdiction. Information may be obtained and claims may be filed at any office of the NAF or at P.O. Box 50191, Minneapolis, MN 55405.

12- Acceptance. By ordering any product from Sevilo Inc, whether by clicking through over the internet, telephone, facsimile or otherwise, the customer agrees to be bound by these Terms and Conditions of Sale, as well as the "Acceptance of Contract Terms" contained elsewhere in the Sevilo Inc and shopolives.com web site.
